These Terms ("Terms") govern your access to and use of Bloc ("Bloc," "we," "us," or "our"), operated by Bloc Technologies, Inc., including our website at meetbloc.com, mobile applications, and all related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Platform.
These Terms apply to all users of the Platform, including merchants who list their time for purchase and consumers who purchase, resell, or browse available blocs.
To use the Platform, you must:
If you are using the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
To access certain features of the Platform, you must create an account. When creating an account, you agree to:
Bloc reserves the right to suspend or terminate any account at its sole discretion, with or without notice, for any reason, including but not limited to violation of these Terms.
Bloc is a marketplace where Merchants list available blocs and Consumers purchase them.
merchants
Merchants set their availability, define the services they offer, and set pricing for each bloc. Once listed, blocs become available for purchase by Consumers on the Platform.
consumers
Consumers browse available blocs and purchase them directly through the Platform. All purchases are final and non-refundable. A purchased bloc represents a confirmed, paid commitment between the Consumer and the Merchant.
resale
A Consumer who has purchased a bloc and is unable to attend may list that bloc for resale on the Marketplace. Resale is facilitated by the Platform but is not guaranteed. Bloc does not promise or ensure that a resale buyer will be found. The Consumer assumes all risk associated with an unsold bloc.
merchant payment
Merchants are paid at the time of booking. Payment terms, methods, and fee structures are provided to Merchants during onboarding and are governed by the applicable Merchant Agreement.
fees & pricing
Bloc charges fees on transactions conducted through the Platform. Specific fee structures are disclosed to Users during account setup and prior to any transaction. For the resale of blocs on the Marketplace, Bloc may implement dynamic pricing limits or caps. While Consumers may suggest a listing price for their bloc, Bloc reserves the right to adjust or restrict listing prices to maintain marketplace integrity and prevent artificial price inflation. Bloc reserves the right to modify its fee structure with notice to Users.
marketplace only
Bloc facilitates connections between Merchants and Consumers. Bloc does not provide, perform, or guarantee the services listed by Merchants. Bloc is not a party to the service relationship between Merchants and Consumers. Merchants are independent service providers and are not employees, contractors, or agents of Bloc.
All bookings on bloc constitute a purchase, not a reservation. All purchases are final and non-refundable.
When a Consumer completes a booking on the Platform, the Consumer is purchasing a bloc from the Merchant. This purchase is binding and non-refundable.
The Consumer's sole remedy for a purchased bloc they are unable to attend is to list that bloc for resale on the Marketplace. Bloc does not guarantee that a resale buyer will be found, and the Consumer bears all risk of an unsold bloc.
Consumers are advised to review their schedules carefully before completing a purchase. By completing a purchase, the Consumer acknowledges and accepts the non-refundable nature of the transaction.
In the event that a Merchant cancels a bloc, or in the event of a verified Merchant no-show, the Consumer will receive a full credit to their Bloc account or a replacement bloc, at Bloc's discretion.
merchant no-show reporting
Consumers must report a Merchant's failure to perform the service within twenty-four (24) hours of the scheduled bloc time. Failure to report a no-show within this window may result in the forfeiture of the credit claim, as payments to Merchants are processed as final once the bloc window has passed.

Bloc reserves the right to investigate and take appropriate action against any User who violates these provisions, including suspending or terminating their account and reporting the activity to law enforcement authorities.
bloc's ip
The Platform, including its design, features, functionality, content, trademarks, logos, and all related intellectual property, is owned by Bloc Technologies, Inc. or its licensors. You may not copy, reproduce, distribute, modify, or create derivative works of any Bloc intellectual property without our prior written consent.
merchant content
Merchants retain ownership of content they submit to the Platform. By submitting content, Merchants grant Bloc a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content solely in connection with operating and promoting the Platform.
consumer content
Consumers who submit reviews, ratings, messages, or other content to the Platform grant Bloc a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with operating and promoting the Platform. Consumers represent that any content they submit is accurate and does not infringe the rights of any third party.
feedback
Any feedback, suggestions, or ideas you provide to Bloc regarding the Platform may be used by Bloc without restriction or obligation to you.
Marketplace Only. Bloc is a marketplace that connects Merchants and Consumers. Bloc does not provide, perform, endorse, or guarantee any services listed on the Platform.
No Vetting Guarantee. While Bloc may conduct basic onboarding verification of Merchants, Bloc does not guarantee the qualifications, credentials, quality, safety, or legality of any Merchant or their services.
As-Is Basis. The Platform and all content, features, and services available through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Resale. Bloc does not guarantee that a Consumer will find a buyer for a bloc listed for resale. Bloc makes no representations regarding resale outcomes, timing, or pricing.
No Uptime Guarantee. Bloc does not guarantee that the Platform will be available at all times without interruption.
To the maximum extent permitted by applicable law:
These limitations apply regardless of the theory of liability, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory.
You agree to indemnify, defend, and hold harmless Bloc Technologies, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
tax responsibilities
Merchants are solely responsible for determining, collecting, reporting, and remitting any and all applicable federal, state, local, or international taxes associated with the services provided through the Platform. Bloc is a facilitator and is not responsible for the calculation or payment of any taxes arising from transactions between Merchants and Consumers.
Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact Bloc at legal@meetbloc.com and attempt to resolve the dispute informally for a period of at least thirty (30) days.
Binding Arbitration. If the dispute cannot be resolved informally, you agree that any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware.
class action waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration.
Small Claims Exception. Either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.
Disputes Between Users. Disputes between Merchants and Consumers regarding service quality, conduct, or other matters are between those parties. Bloc may, at its sole discretion, facilitate communication or mediation between the parties, but Bloc is not obligated to resolve such disputes and shall not be liable for their outcome.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration under Section 12 shall be brought exclusively in the state or federal courts located in the State of Delaware.
By You. You may close your account at any time by contacting Bloc or through your account settings. Closing your account does not relieve you of any outstanding financial obligations.
By Bloc. Bloc may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
Effect of Termination. Upon termination, your right to access and use the Platform immediately ceases. Any pending transactions will be processed or canceled at Bloc's discretion. Outstanding financial obligations survive termination and remain enforceable. Sections 8, 9, 10, 11, 12, and 13 survive termination.
Bloc reserves the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "last updated" date. For registered Users, we may also provide notice via email or in-app notification.
Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Platform and close your account.
Entire Agreement. These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Bloc regarding your use of the Platform.
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver. Bloc's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without Bloc's prior written consent. Bloc may assign its rights and obligations under these Terms without restriction.
Notices. Bloc may provide notices to you through the Platform, via email, or by other reasonable means. You may provide notices to Bloc at legal@meetbloc.com.
By accessing or using the Platform, you acknowledge that you have read and understood our Privacy Policy, which is incorporated into these Terms by reference. You consent to the collection, use, and disclosure of your personal data as described in the Privacy Policy, including the processing of transaction data required for the operation of the Platform.
